Welcome to Lathrop Services – Corridor Staging and Logistics
By accessing or using our website (lathropservices.com), mobile applications, or platform services (collectively, the “Platform”), including registering, listing properties, searching, booking staging nodes, or using any related tools, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Platform.
1. Our Platform
- Lathrop Services operates a B2B SaaS marketplace connecting industrial property owners and brokers (“Owners”) with fleets, contractors, road crews, and emergency response teams (“Seekers”). We provide digital tools for listing, searching, booking, and managing staging nodes along major U.S. interstate corridors.
- Brokerage firms may act on behalf of property owners or multiple owners when listing properties. In such cases, the brokerage firm represents and warrants that it has full authority from the owner(s) to list the property, enter into bookings, and bind the owner(s) to these Terms.
- We utilize virtual dispatch systems, AI-powered matching algorithms, and other automated tools to facilitate connections, recommendations, and operations. These technologies are provided for informational and convenience purposes only. Lathrop Services is not responsible for any inaccuracies, errors, omissions, or outcomes resulting from the use of our virtual dispatch, AI systems, or automated features. All decisions regarding bookings, property suitability, and logistics remain the responsibility of the users. We act solely as an intermediary technology platform and are not a party to transactions between Owners and Seekers.
2. Intellectual Property Protection
All content, software, microservices, dispatch algorithms, map functionality, branding, logos, and platform design are the exclusive property of Lathrop Services Corridor Staging and Logistics. We have applied for trademark protection on our name and logo. Any unauthorized use, copying, reverse engineering, scraping, or creation of derivative works is strictly prohibited and may result in legal action.
3. User Accounts and Eligibility
You must be at least 18 years old and have legal authority to enter agreements. You agree to provide accurate, current information and keep it updated. Accounts are non-transferable. We may suspend or terminate accounts for violations, fraud, or inactivity.
4. For Property Owners and Brokers (Supply Side)
You (including brokerage firms acting on behalf of property owner(s) authorize us to list, market, and promote the properties as staging nodes. You are solely responsible for the condition, safety, maintenance, legality, and compliance (including weight capacity, clearances, power, security, environmental, and zoning requirements) of the property.
Brokerage firms represent and warrant that they have the necessary authority from the owner(s) and will ensure owner compliance with these Terms. You must honor all confirmed bookings and provide the listed amenities. We handle marketing, booking coordination, payments, and basic support. You grant us a non-exclusive, royalty-free license to use property photos, descriptions, and details for Platform purposes.
5. For Fleets, Contractors, and Seekers (Demand Side)
- Bookings are subject to availability, Owner approval (where applicable), and confirmation.
- You agree to use properties only for lawful staging and logistics purposes and comply with all property-specific rules, safety protocols, and regulations (e.g., FMCSA).
- You are strictly prohibited from using any neighboring or adjacent properties for parking, turning around, access, staging, or any other purpose. Such actions constitute trespassing. You must remain solely within the boundaries of the booked property.
- You are responsible for your equipment, drivers, cargo, and any damages caused.
- Mandatory check-in requires: Responsible Party name, Driver’s License Number, Truck/Trailer Identification Numbers, and any other requested details.
- No subletting or unauthorized use.
Platform Rules for All Users
- Provide accurate information only. Misrepresentation may result in immediate termination.
- Prohibited conduct includes illegal activities, spam, harassment, harmful content, or interfering with Platform operations.
- You consent to our collection, use, and sharing of data for matching, bookings, payments, safety, and as described in our Privacy Policy.
- User Content: You retain ownership but grant us a worldwide, royalty-free license to host, display, and use your listings, reviews, and content on the Platform.
7. Payments, Commissions, and Financial Terms
Lathrop Services collects all booking payments (and any additional fees) through the Platform from Seekers or other paying parties on behalf of property owners. We deduct our service commission (as displayed in your dashboard or booking confirmation) and distribute the remaining net proceeds to Owners (or their authorized brokerage firm) according to our payout schedule. This may involve handling funds from one or more parties per transaction. Payments are processed securely via third-party providers.Owners (or their authorized brokerage) are responsible for providing accurate payout information (e.g., bank details). Cancellations, refunds, and disputes are subject to Owner policies, our rules, and applicable law. All users are responsible for any applicable taxes on their transactions or earnings. Delays in payouts may occur due to verification, banking processes, or disputes.
8. Platform Role & Liability Limitation
Lathrop Services acts solely as a technology platform facilitating connections. We do not own, operate, lease, or manage any physical staging nodes.
- All users expressly agree that Lathrop Services is not liable for any death, bodily injury, illness, property damage, loss, theft, disputes, delays, towing fees, trespassing violations, or any other damages or claims arising from or related to the use of any staging node, interactions between Owners and Seekers, the use of virtual dispatch or AI systems, trespass on neighboring properties, or any activities on the Platform.
- Property owners (and their authorized brokerage firms) are fully responsible for the condition, safety, maintenance, and legal compliance of their sites.
- Users (Seekers) are fully responsible for their equipment, drivers, cargo, and compliance with all laws and safety regulations.
- All use of the Platform and properties is at your own risk.
- THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.
9. Insurance & Risk –
Users and property owners (including situations involving brokerage firms) are responsible for obtaining and maintaining their own adequate insurance coverage (including liability, property, cargo, workers’ compensation, and coverage for death or bodily injury as required by law). Lathrop Services maintains general liability insurance but does not insure individual properties, equipment, operations, or transactions.
10. Indemnification
You agree to indemnify and hold Lathrop Services, its owners, officers, and affiliates harmless from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Platform, your listings (for Owners and authorized brokerage firms), your activities on properties (for Seekers), trespass violations, or violations of these Terms.
11. Dispute Resolution
Any disputes arising from these Terms or use of the Platform will be resolved through binding arbitration in Wyoming under the rules of the American Arbitration Association. You waive any right to class actions or jury trials where permitted by law.
12. Governing Law –
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles.
13. Termination and Changes
We may update these Terms at any time (continued use constitutes acceptance). We reserve the right to modify, suspend, or terminate your access for violations or other reasons.
14. Miscellaneous
These Terms constitute the entire agreement. If any provision is held invalid, the remainder remains in effect. No waiver unless in writing. Contact us with questions:
